GOODLES PENGUIN KIT PROMOTION OFFICIAL TERMS AND CONDITIONS

NO PURCHASE NECESSARY. VOID WHERE PROHIBITED. BY PARTICIPATING IN THE PROMOTION, YOU AGREE TO THESE OFFICIAL TERMS AND CONDITIONS (“TERMS”). ALL DECISIONS OF THE SPONSOR ARE FINAL AND BINDING.

1. Sponsor: Gooder Foods, Inc., 415 River Street, Suite A, Santa Cruz, CA 95060.

2. Eligibility: The GOODLES Penguin Kit Promotion (hereafter, “Promotion”) is open to all legal residents of the fifty (50) United States and the District of Columbia (“U.S.” who are 18 years of age or older at time of participation and who provide a valid U.S. mailing address (each, an “Eligible Participant”). Employees, officers, directors, representatives and agents of Gooder Foods, Inc. (“Sponsor”) and its, affiliates, shareholders, officers, directors, agents, representatives and employees (collectively, “Released Parties”) and the immediate family members (parent, spouse, sibling or child, and their respective spouses, regardless of where they reside) and those living in the same household of each, whether or not related, are not eligible to participate or win. Void where prohibited or restricted by law, rule or regulation. This Promotion subject to all applicable federal, state, and local laws. Winning a prize is contingent upon fulfilling all requirements set forth in these Terms.

3. Promotion Period and Dates: The Promotion will take place from 8:00am PST on January 28, 2026 to 11:00pm PST on January 31, 2026 (“Promotion Period”). Sponsor’s computer is the official timekeeping device for this Promotion.

4. PROMOTION:

A. How to Participate: No purchase necessary. Gift sets will be distributed to the first fifty (50) Eligible Participants that enter approved submissions, while supplies last (“Kits”). Limit of one (1) entry per Eligible Participant during the Promotion Period. Kits may vary and are limited in quantity. THERE ARE ONLY FIFTY (50) TOTAL KITS AVAILABLE. ONCE ALL KITS HAVE BEEN DISTRIBUTED, THERE WILL NOT BE ANY ADDITIONAL KITS OR PRIZES. IF SPONSOR DOES NOT DISTRIBUTE ALL KITS DURING THE PROMOTION PERIOD, ANY REMAINING KITS WILL BE FORFEITED. ALL POTENTIAL WINNERS ARE SUBJECT TO VERIFICATION BY SPONSOR, WHOSE DECISIONS ARE FINAL AND BINDING. AN ELIGIBLE PARTICIPANT IS NOT A WINNER OF ANY PRIZE UNLESS AND UNTIL PARTICIPANT’S ELIGIBILITY HAS BEEN VERIFIED AND THE ELIGIBLE PARTICIPANT HAS BEEN NOTIFIED THAT VERIFICATION IS COMPLETE.

B. Promotion Prizes: All prizes must be redeemed during the Promotion Period. After the Promotion Period ends, prizes cannot be redeemed and Eligible Participant’s prize is void and forfeited. Each Kit contains one penguin pillow based on an illustration by Cyrus, one penguin coloring set (coloring book and colored pencils included), and two Cheddy Mac microwaveable cups. Approximate retail value of a Kit is $40.

C. No cash or other substitution, assignment or transfer of any prizes permitted, except by Sponsor, who reserves the right in its sole discretion to substitute a prize or prize component with cash or another prize of comparable or greater value. Winner is responsible for all federal, state and local taxes and fees associated with prize receipt and/or use. Prizes will be awarded “as is” with no warranty or guarantee, either express or implied offered by Sponsor. The odds of winning a particular prize are based on the number of such prize available as indicated in the chart above. Limit: One (1) prize per person. Winner must comply with all terms and conditions of these Terms in order to claim a prize. Sponsor reserves the right, in its sole discretion, to disqualify any individual it finds to be tampering with the operation of the Promotion or to be acting in violation of these Terms, or in an unsportsmanlike or disruptive manner.

5. Miscellaneous:

A. Eligible Participants agree, by participating, that (1) Sponsor and its designees may use (unless prohibited by law), Eligible Participant’s name, city and state of residence, photograph, any recording (voice, film or video), and/or likeness for advertising, trade and/or any other purposes in any media now or hereafter known throughout the world in perpetuity, without further compensation, permission or notification, and (2) the Released Parties shall have no liability and will be indemnified and held harmless by Eligible Participant for any claim, action, liability, loss, injury or damage to Eligible Participant or any other person or entity, including, without limitation, personal injury or death to Eligible Participant or any other person or damage to personal or real property, due in whole or in part, directly or indirectly, by reason of the acceptance, possession, use or misuse of the prize or participation in this Promotion. Sponsor reserves the right, in its sole discretion, to modify, suspend, and/or terminate this Promotion (or portion thereof) for any or no reason, including should virus, bugs, non-authorized human intervention, acts of God, acts of terrorism, health crisis, epidemic, pandemic, civil disturbances, work stoppage, or other causes corrupt or impair the administration, security, fairness or proper play of the Promotion and, in the case of termination, at its discretion.

B. Released Parties are not responsible for errors which may occur in connection with the administration of the Promotion, the Kits, prizes, the failure of any Sponsor products in any Promotion-related materials, or for printing, typographical, human or other errors appearing in these Terms, the Kits or other Promotion-related materials. CAUTION: ANY ATTEMPT TO DELIBERATELY DAMAGE ANY WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE PROMOTION IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE; THE SPONSOR RESERVES THE RIGHT TO SEEK ANY AND ALL REMEDIES AVAILABLE FROM ANY SUCH PERSON(S) FOR THE ATTEMPT TO THE FULLEST EXTENT PERMITTED BY LAW.

6. Arbitration: Except where prohibited by law, as a condition of participating in this Promotion, Eligible Participant agrees that (a) any and all disputes and causes of action arising out of or connected with this Promotion, or any prizes awarded, shall be resolved individually, without resort to any form of class action, and exclusively by final and binding arbitration under the rules of the American Arbitration Association and held at the AAA regional office nearest Sponsor; (b) the Federal Arbitration Act shall govern the interpretation, enforcement and all proceedings at such arbitration; and (c) judgment upon such arbitration award may be entered in any court having jurisdiction. Under no circumstances will Eligible Participant be permitted to obtain awards for, and participant hereby waives all rights to claim, punitive, incidental or consequential damages, or any other damages, including attorneys' fees, other than participant's actual out-of-pocket expenses (i.e., costs associated with participating in this Promotion), and participant further waives all rights to have damages multiplied or increased.

7. Privacy Policy: The personal information collected/provided in connection with this Promotion will be used in accordance with the Privacy Policy, which can be found at https://www.goodles.com/privacy-policy/. Eligible Participants who provide their email address will automatically be enrolled to receive emails from or on behalf of Sponsor, as well as be enrolled in Sponsor’s marketing database, and can opt out of receiving future emails at any time by following the directions provided in such emails.

8. Choice of Law: All issues and questions concerning the construction, validity, interpretation and enforceability of these Terms, or the rights and obligations of participant and Sponsor in connection with the Promotion, shall be governed by, and construed in accordance with, the substantive laws of the State of California, USA.
