GOODLES WILD WILD PESTO DARTBOARD PROMOTION OFFICIAL TERMS AND CONDITIONS

NO PURCHASE NECESSARY. VOID WHERE PROHIBITED. BY PARTICIPATING IN THE PROMOTION, YOU AGREE TO THESE OFFICIAL TERMS AND CONDITIONS (“TERMS”). ALL DECISIONS OF THE SPONSOR ARE FINAL AND BINDING.

1. SPONSOR

Gooder Foods, Inc. 415 River Street, Suite A Santa Cruz, CA 95060 2. ELIGIBILITY The GOODLES Wild Wild Pesto Dartboard Promotion (“Promotion”) is open to legal residents of the fifty (50) United States and the District of Columbia who are eighteen (18) years of age or older at the time of participation and who provide a valid U.S. mailing address (each, an “Eligible Participant”). Employees, officers, directors, representatives, and agents of Gooder Foods, Inc. (“Sponsor”), its affiliates, shareholders, officers, directors, agents, representatives, and employees (collectively, the “Released Parties”), as well as their immediate family members (parent, spouse, sibling, or child and their respective spouses, regardless of where they reside) and individuals living in the same household, whether related or not, are not eligible to participate or win. Void where prohibited or restricted by law. This Promotion is subject to all applicable federal, state, and local laws and regulations. Winning a prize is contingent upon fulfilling all requirements set forth in these Terms.

3. PROMOTION PERIOD

The Promotion begins at 8:00 a.m. Pacific Time (“PT”) on 6/8 and ends at 11:00 p.m. PT on 6/12 (“Promotion Period”). Sponsor’s computer is the official timekeeping device for the Promotion.

4. PROMOTION DETAILS

A. HOW TO PARTICIPATE No purchase is necessary to enter or win. During the Promotion Period, Eligible Participants may enter by following the instructions provided in the applicable GOODLES promotional post, email, or landing page. At the conclusion of the Promotion Period, twenty (20) winners will be selected at random from all eligible entries received (“Winners”). Limit one (1) entry per Eligible Participant during the Promotion Period. THERE ARE ONLY TEN (10) TOTAL DARTBOARDS AVAILABLE. All potential winners are subject to verification by Sponsor, whose decisions are final and binding. An Eligible Participant is not considered a winner unless and until their eligibility has been verified and they have been notified by Sponsor.

B. PRIZES Each Winner will receive one (1) limited-edition GOODLES Wild Wild Pesto Dartboard. Approximate Retail Value (“ARV”) of each prize: $30 Total ARV of all prizes: $600. Prizes must be claimed within the timeframe communicated by Sponsor. Any prize not claimed within the specified timeframe may be forfeited at Sponsor’s discretion.

C. PRIZE CONDITIONS No cash substitution, transfer, or assignment of prizes is permitted, except by Sponsor, who reserves the right to substitute a prize or prize component with one of equal or greater value if necessary. Winners are solely responsible for any federal, state, and local taxes associated with acceptance and use of the prize. Prizes are awarded “as is” without any warranty or guarantee, express or implied, by Sponsor. Limit one (1) prize per person. Sponsor reserves the right, in its sole discretion, to disqualify any individual who tampers with the operation of the Promotion, violates these Terms, or acts in a disruptive or unsportsmanlike manner.

5. GENERAL CONDITIONS

A. PUBLICITY RELEASE By participating, Eligible Participants agree that Sponsor and its designees may use, unless prohibited by law, the participant’s name, city and state of residence, photograph, voice, video, likeness, and statements for advertising, promotional, trade, and other purposes in any media now known or later developed throughout the world in perpetuity without additional compensation, notice, or permission.

Eligible Participants further agree that the Released Parties shall have no liability and will be indemnified and held harmless by the participant for any claim, action, liability, loss, injury, or damage arising out of participation in the Promotion or acceptance, possession, use, or misuse of any prize. Sponsor reserves the right, in its sole discretion, to modify, suspend, or terminate the Promotion for any reason, including but not limited to fraud, technical failures, unauthorized intervention, force majeure events, acts of terrorism, pandemics, labor disputes, or any other occurrence that compromises the integrity or proper administration of the Promotion.

B. LIMITATION OF LIABILITY The Released Parties are not responsible for technical failures, human error, printing errors, typographical errors, lost, late, incomplete, damaged, misdirected, or illegible entries, or any other errors related to the administration of the Promotion or the awarding of prizes. CAUTION: ANY ATTEMPT TO DELIBERATELY DAMAGE ANY WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THIS PROMOTION MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAW. SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES AND OTHER REMEDIES TO THE FULLEST EXTENT PERMITTED BY LAW.

6. ARBITRATION

Except where prohibited by law, as a condition of participating in this Promotion, Eligible Participants agree that: (a) Any and all disputes, claims, and causes of action arising out of or connected with this Promotion or any prize awarded shall be resolved individually, without resort to any form of class action, and exclusively through final and binding arbitration administered by the American Arbitration Association (“AAA”) in the AAA office nearest Sponsor; (b) The Federal Arbitration Act shall govern the interpretation, enforcement, and proceedings related to such arbitration; and (c) Judgment on the arbitration award may be entered in any court having jurisdiction.

Participants waive all rights to claim punitive, incidental, consequential, or multiplied damages, including attorneys’ fees, except for actual out-of-pocket expenses directly related to participation in the Promotion.

7. PRIVACY

Any personal information collected in connection with the Promotion will be used in accordance with Sponsor’s Privacy Policy, available at: https://www.goodles.com/privacy-policy/

Participants who provide an email address may receive communications from Sponsor and may be added to Sponsor’s marketing database. Participants may unsubscribe at any time by following the instructions provided in such communications.

8. GOVERNING LAW

All issues and questions concerning the construction, validity, interpretation, and enforceability of these Terms, or the rights and obligations of participants and Sponsor in connection with the Promotion, shall be governed by and construed in accordance with the laws of the State of California, without regard to conflict of law principles.
